1. Eligibility: The sweepstakes is open only to legal residents of the United States who are at least twenty-one (21) years old and are a Hotels.com Rewards member. If you are not a member, you must become one before your entry can be included in the random drawing. Membership is free. (“Partner”) or NBA Properties, Inc., the National Basketball Association (the “NBA”) and the NBA member teams (collectively, the “NBA Entities”), including affiliates and agents, as well as the immediate family (spouse, parents, siblings, and children) and household members of those employees are not eligible to enter or win the sweepstakes.
2. Entry Period: The entry period begins at 12:01 am ET on Monday, December 12, 2022 and ends on Thursday, December 22, 2022 at 11:59 p.m. ET (“Entry Period”). Entries submitted before or after the Entry Period will not be eligible. Partner’s computer is the official time-keeping device for the sweepstakes.
3. How to Enter: To participate and receive one (1) entry, visit www.hotels.com/nbaparissweepstakes and follow the instructions to complete and submit the provided online form by entering your name, email address and your Hotels.com Rewards membership number before the end of the Entry Period. There is a limit of one (1) entry per entrant using only one (1) email address during the Entry Period. The use of an agency or any automated system to enter is strictly prohibited, and Partner reserves the right to disqualify any entries received through such methods, as determined by Partner, in its sole discretion. By entering, you indicate your full agreement to these Official Rules and Partner’s decisions regarding the sweepstakes, which are final and binding. Winning a prize is contingent upon fulfilling all requirements in these Official Rules.
4. Rights to Entries: You do not transfer ownership of your entry by entering the Sweepstakes. However, by entering, you grant Partner and the NBA Entities, its agents, licensees, and assigns an irrevocable, perpetual (non-exclusive) right and permission to reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, modify, create derivative works of, exhibit, and otherwise use your entry as-is or as-edited (with or without using your name) in any media throughout the world for any purpose, without limitation, and without additional review, compensation, or approval from you. Participants in this promotion agree to be bound by these Official Rules and agree that the NBA Entities and their designees and assigns may use the participant’s name, voice, city/state of residence, photos, video or film clips, and/or other visual likeness for advertising and/or trade purposes and/or for any other purpose in any media or format now or hereafter known without further compensation (financial or otherwise), permission or notification.
5. Prizes: Three (3) winners will each receive one (1) pair of tickets to the NBA ”Global Game” scheduled to take place in Paris, France on January 19, 2023, roundtrip economy-class airfare for two (2) people from an international airport near the winner’s home to Paris, France and three (3) nights hotel stay for two (2) people (all seats and hotel stay as determined by Partner) (“Prize”).Partner will work with winner to arrange travel. Travel must take place by January 17, 2023 or the prize will be forfeited. The Prize is subject to availability of flights and hotel accommodations on the winner’s preferred dates. The winner will need to confirm availability.A major credit card will be required at check in at hotel to cover any incidental charges. No cancellation of reservation or transfer of reservation to another date will be permitted after reservation has been made.Total ARV of all Prizes is $16,500.00 USD (ARV of a single Prize is $5,500). Actual value of the Prize may vary based on destination, rates at time of booking and travel dates.  Any difference between stated ARV and actual value will not be awarded. Winner and their guest must travel together on the same itinerary and are responsible for obtaining any required necessary documentation (i.e., valid passport, visas, etc.) prior to travel. Guest must be of legal age of majority in their jurisdiction of residence (and at least 18), unless the child or legal ward of a winner and must sign a liability/publicity release prior to issuance of travel documents. If guest is child or legal ward of a winner, winner must sign and return release on behalf of such child or legal ward.Re-bookings are not allowed. The value of the booking is not refundable. Certain travel restrictions may apply. A winner is responsible for paying any applicable federal, state, local, income and withholding taxes, if any, and any and all other costs and expenses not listed herein as being provided, including but not limited to the extension of any travel not directly associated with the Prize (extension of the trip), ground transportation, luggage fees, passenger tariffs or duties, airline fees, surcharges, airport fees, service charges or facility charges, any hotel accommodation not included as part of the Prize, meals, beverages, hotel incidentals, souvenirs and gratuities. In the event that any tax withholding is required by law for the prize (or a portion thereof), winners authorize Partner to make the corresponding deduction. Any prize details not specified above will be determined by Partner, in its sole discretion. Partner will not be liable for any expenses incurred as a consequence of flight cancellations or delays. Partner will not be liable for any airline and/or hotel fees incurred as a consequence of changing or cancelling flight and/or hotel reservations. Partner will not replace any lost or stolen prizes or prize components. Winners may not transfer, assign or substitute a prize, or redeem a prize for cash, except at the sole discretion of the Partner, who reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value. Prize is awarded “as is” without any warranty or guarantee, either express or implied by Partner. The prize is subject to and the winner must abide by the terms and conditions of booking, of carriage for the flights and of stay for the hotel. Booking and travel is subject to the terms and conditions set forth by travel suppliers and Partner’s Terms of Service (hotels.com).Each winner and their guest are expected to exercise all reasonable care for their own health and safety and for that of all other persons at all times during the event, in particular by complying with any health and safety legislation and regulations as determined by local authorities as provided, as well as complying with the ticket Terms and Conditions as provided by the NBA.
6. Random Drawing & Winner Notification: On December 23, 2022, Partner will conduct a random drawing from among all eligible entries received throughout the Entry Period to select three (3) potential winners to receive a Prize. Partner will email the potential winners with instructions on how to claim their prize. Each potential Prize winner must execute and return to Partner an affidavit of eligibility, a liability release (which releases Partner, its respective parent company, subsidiaries, affiliates, and their respective officers, directors, employees, agents, representatives, successors and assigns and the NBA Entities (collectively, the “Released Parties”) from any and all liability in connection with this Sweepstakes and/or the awarding and use/misuse of the Prize or any portion thereof), verifies his or her identity and allows for the use of their name and likeness (Right of Publicity) by the NBA Entities and the Partner with no further compensation; and agrees to release the NBA Entities and the Partner from any claims or damages that might arise in connection with the sweepstakes by Friday, December 30, 2022. If a potential Prize winner: (a) fails to return the properly executed Sweepstakes documents within the specified time; (b) cannot accept (or is unwilling to accept) the Prize (as awarded) for any reason; and/or (c) is determined to be in violation of these Official Rules (all as determined by the Partner in its sole and absolute discretion); then he/she may, in the sole and absolute discretion of the Partner, be disqualified (and, if disqualified, will forfeit all rights to the Prize) and the Partner reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining eligible Entries submitted and received during the applicable Entry Period (in which case the foregoing provisions of this section shall apply to such newly selected potential Prize winner). Such newly selected potential winner will be notified by email within three (3) business days of the drawing, using the contact details provided by that person when entering the Sweepstakes. Only one (1) alternate entrant will be contacted for each prize. Unclaimed prizes may not be awarded.
7. General Conditions: In the event that the operation, security, or administration of the Sweepstakes is impaired in any way, Partner may, in its sole discretion, either: (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes; or (b) award the prizes in a random drawing from among the eligible entries received up to the time of the impairment. Partner reserves the right, in its sole discretion, to disqualify and seek damages from any individual who tampers with the operation of the Sweepstakes, violates these Official Rules, or acts in a disruptive or unsportsmanlike manner. Partner’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Proof of sending any communication to Partner by mail shall not be deemed proof of receipt of that communication by Partner. The Sweepstakes is subject to federal, provincial, state, and local laws and regulations and is void in where prohibited. The Administrator and Partner reserve the exclusive right to substitute prizes, in whole or in part, of equal or greater monetary value if prizes cannot be awarded, in whole or in part, as described for any reason.
8. Release and Limitations of Liability: Except where prohibited, by entering, you agree to release and hold harmless Partner, their parent, subsidiaries, affiliates, and each of their respective officers, directors, employees, and agents and the NBA Entities (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Sweepstakes; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) lost, late, misdirected, or undeliverable mail; (e) errors in the administration of the Sweepstakes or the processing of entries; or (g) injury or damage to persons or property. You further agree that in any cause of action, in no event shall the Released Parties be liable for attorney’s fees. You waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
9. Collection and Use of Your Personal Information: Hotels.com may collect and process your personal information directly or through our agents or contractors. We will use your personal information as necessary in order to conduct and manage the Sweepstakes, and where we have a lawful basis to do so, to send marketing communications to you. We may disclose your personal information to our related companies, agents, and contractors to assist in conducting and managing this offer, communicating with you, or storing data. 10. Disputes: Except where prohibited, you agree that any and all disputes, claims, and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in New York. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, your rights and obligations, or the rights and obligations of the Partner in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of New York, without giving effect to any choice of law or conflict of law rules (whether of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than New York.

12. Results: To request a winners list, send a self-addressed, stamped envelope to Administrator, Hotels.com NBA in Paris Sweepstakes, 5400 LBJ Freeway Suite 500, Dallas, TX 75240. Requests must be received within four (4) weeks of the end of the Sweepstakes Period.
