AGREEMENT BETWEEN CUSTOMER AND HOTELS.COM, L.P.
Welcome to the Hotels.com website (the "Website"). This Website is provided solely to assist customers in gathering travel information, determining the availability of travel-related goods and services, making legitimate reservations or otherwise transacting business with travel suppliers, and for no other purposes. The terms "we", "us", "our" and "Hotels.com" refer to Hotels.com, L.P., a Texas limited partnership and/or our subsidiaries. The term "you" refers to the customer visiting the Website and/or booking a reservation through us on this Website, or through our customer service agents.
This Website is offered to you conditioned upon your acceptance without modification of all the terms, conditions, and notices set forth below (collectively, the "Agreement"). By accessing or using this Website in any manner, you agree to be bound by the Agreement. Please read the Agreement carefully. If you do not accept all of these terms and conditions, please do not use this Website. Be sure to return to this page periodically to review the most current version of the Agreement. We reserve the right at any time, at our sole discretion, to change or otherwise modify the Agreement without prior notice, and your continued access or use of this Website signifies your acceptance of the updated or modified Agreement.
USE OF THE WEBSITE
As a condition of your use of this Website, you warrant that
1. you are at least 18 years of age,
2. you possess the legal authority to create a binding legal obligation,
3. you will use this Website in accordance with this Agreement,
4. you will only use this Website to make legitimate reservations for you or for another person for whom you are legally authorized to act,
5. all information supplied by you on this Website is true, accurate, current and complete, and
6. if you have an Hotels.com account, you will safeguard your account information and will supervise and be completely responsible for any use of your account by anyone other than you. We retain the right at our sole discretion to deny access to anyone to this Website and the services we offer, at any time and for any reason, including, but not limited to, for violation of this Agreement.
PROHIBITED ACTIVITIES
The content and information on this Website (including, but not limited to, price and availability of travel services), as well as the infrastructure used to provide such content and information, is proprietary to us or our suppliers and providers. While you may make limited copies of your travel itinerary (and related documents) for travel or services booked through this Website, you agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software, products, or services obtained from or through this Website. Additionally, you agree not to:
1. use this Website or its contents for any commercial purpose;
2. make any speculative, false, or fraudulent reservation or any reservation in anticipation of demand;
3. access, monitor or copy any content or information of this Website using any robot, spider, scraper or other automated means or any manual process for any purpose without our express written permission;
4. violate the restrictions in any robot exclusion headers on this Website or bypass or circumvent other measures employed to prevent or limit access to this Website;
5. take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;
6. deep-link to any portion of this Website (including, without limitation, the purchase path for any travel services) for any purpose without our express written permission; or
7. "frame", "mirror" or otherwise incorporate any part of this Website into any other website without our prior written authorization.
SUPPLIER RULES AND RESTRICTIONS
Separate terms and conditions will apply to your reservation and purchase of travel- related goods and services that you select. Please read these separate terms and conditions carefully. You agree to abide by the terms and conditions of purchase imposed by any supplier with whom you elect to deal, including, but not limited to, payment of all amounts when due and compliance with the supplier's rules and restrictions regarding availability and use of fares, products, or services. We reserve the right to cancel your booking if full payment is not received in a timely fashion. You acknowledge that some third-party providers offering certain services and/or activities may require you to sign their liability waiver prior to participating in the service and/or activity they offer. You understand that any violation of any such supplier's rules and restrictions may result in cancellation of your reservation(s), in your being denied access to the applicable travel product or services, in your forfeiting any monies paid for such reservation(s), and/or in our debiting your account for any costs we incur as a result of such violation.
GROUP BOOKINGS
You may not book more than 8 rooms online for the same hotel/stay dates. If we determine that you have booked more than 8 rooms in total in separate reservations, we may cancel your reservations, and charge you a cancellation fee, if applicable. If you paid a non-refundable deposit, your deposit will be forfeited. If you wish to book 9 or more rooms, you must contact Expedia’s group travel specialists by phone or by filling out the group travel form online. One of our group travel specialists will research your request and contact you to complete your reservation. You may be asked to sign a written contract and/or pay a nonrefundable deposit.

REVIEWS, COMMENTS AND OTHER SUBMISSIONS
We appreciate hearing from you. Please be aware that by submitting content to this Website by electronic mail, postings on this Website or otherwise, including any hotel reviews, photographs, video, questions, comments, suggestions, ideas or the like contained in any submissions (collectively, "Submissions"), you (a) grant Hotels.com and its affiliates a nonexclusive, royalty-free, perpetual, transferable, irrevocable and fully sublicesable right to use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from and publicly display and perform such Submissions throughout the world in any media, now known or hereafter devised; and (b) grant Hotels.com and its affiliates and sublicensees the right to use the name that you submit in connection with such Submission, if they choose. However, you acknowledge that Hotels.com may choose to provide attribution of your comments or reviews (for example, listing your name and hometown on a hotel review that you submit) at our discretion. You further grant Hotels.com the right to pursue at law any person or entity that violates your or Hotels.com's rights in the Submissions by a breach of this Agreement. We take no responsibility and assume no liability for any Submissions posted or submitted by you. If you do not agree to these terms and conditions, please do not provide us with any Submissions.
You are fully responsible for the content of your Submissions, (specifically including, but not limited to, reviews posted to this Website). You are prohibited from posting or transmitting to or from this Website: (i) any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other material or content that would violate rights of publicity and/or privacy or that would violate any law; (ii) any commercial material or content (including, but not limited to, solicitation of funds, advertising, or marketing of any good or services); and (iii) any material or content that infringes, misappropriates or violates any copyright, trademark, patent right or other proprietary right of any third party. You shall be solely liable for any damages resulting from any violation of the foregoing restrictions, or any other harm resulting from your posting of content to this Website. You acknowledge that Hotels.com has the right to control (e.g. use, publish, remove) any content you submit without notice to you. If you submit more than one review for the same hotel, only your most recent submission is eligible for use.
If you believe in good faith that materials hosted by us infringe your copyright, you (or your agent) may send us a written notice that includes the following information:
1. A clear identification of the copyrighted work you claim was infringed.
2. A clear identification of the material you claim is infringing the copyrighted work, and information that will allow us to locate that material on the Website, such as a link to the infringing material.
3. Your contact information so that we can reply to your complaint, preferably including an email address and telephone number.
4. A statement that you have a "good faith belief that the material that is claimed as copyright infringement is not authorized by the copyright owner, its agent, or the law."
5. A statement that "the information in the notification is accurate, and under penalty of perjury, the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed."

PREPAID HOTEL RESERVATIONS
You acknowledge that Hotels.com pre-negotiates certain room rates with hotel suppliers to facilitate the booking of reservations on your behalf. The room rate displayed on the Website is a combination of the pre- negotiated room rate for rooms reserved on your behalf by Hotels.com and the facilitation fee retained by Hotels.com to compensate us for our services. You authorize Hotels.com to book reservations for the total reservation price, which includes the room rate displayed on the Website, plus tax recovery charges, service fees, and where applicable, taxes on Hotels.com’s services. You agree that your credit card will be charged by Hotels.com for the total reservation price. Upon submitting your reservation request you authorize Hotels.com to facilitate hotel reservations on your behalf, including making payment arrangements with hotel suppliers.
You acknowledge that, except as provided below with respect to tax obligations on the amounts we retain for our services, Hotels.com does not collect taxes for remittance to applicable taxing authorities. The tax recovery charges on prepaid hotel transactions are a recovery of the estimated taxes (e.g. sales and use, occupancy, room tax, excise tax, value added tax, etc) that Hotels.com pays to the hotel supplier for taxes due on the hotel's rental rate for the room. The hotel suppliers invoice Hotels.com for tax amounts. The hotel suppliers are responsible for remitting applicable taxes to the applicable taxing jurisdictions. Hotels.com does not act as co-vendors with the supplier with whom we book or reserve our customer's travel arrangements. Taxability and the appropriate tax rate vary greatly by location. The actual tax amounts paid by Hotels.com to the hotel suppliers may vary from the tax recovery charge amounts, depending upon the rates, taxability, etc. in effect at the time of the actual use of the hotel by our customers. We retain our fees as compensation in servicing your travel reservation. Our fees vary based on the amount and type of hotel reservation.
Sales, use and/or local hotel occupancy taxes are imposed on the amounts that we charge for our services (facilitation fee and/or service fee) in certain jurisdictions. For hotel stays in New York State, but outside of New York City, tax recovery charges, as described above, are collected to cover the taxes due on the rent received by the hotel for the room and there is no local hotel occupancy tax due on our services. The actual tax amounts on our services may vary depending on the rates in effect at the time of your hotel stay.
PAY NOW ONLINE OR PAY LATER AT HOTEL DETAILS
With certain hotels, you may be presented with the option to pay online immediately or to pay later at the hotel itself. If you select the option to pay online immediately, you will be charged the amount in the currency that you select immediately. If you select to pay later at the hotel itself, the hotel will charge you in the local currency of the relevant hotel at the time of your stay. Tax rates and foreign exchange rates could change in the time between booking and stay.
CHANGE OR CANCELLATION FEES
You can change or cancel your lodging booking either online under your Reservations when signed into your Hotels.com account, or by calling our customer services number.
You can change your guest name, bed type, smoking preference, special requests, accessibility options, room type, number of guests and travel dates at no charge to you by Hotels.com. Lodging suppliers may impose other change and/or cancellation fees. Charges vary by reservation, so please review your confirmation email for details.
These terms and conditions may not be changed by any unauthorized person, including employees of Hotels.com.
You agree to pay any supplier required cancellation or change fees that you incur. In limited cases, some hotels do not permit changes to or cancellations of reservations after they are made, as indicated in the rules and restrictions for the hotel reservation. You agree to abide by the terms and conditions imposed with respect to your prepaid hotel reservations.
Welcome Rewards® TERMS & CONDITIONS
The Welcome Rewards Program (the "Program") began at 1:00 p.m. Central Time on July 10, 2008. When you book and complete ten (10) nights at an eligible pre-pay Welcome Rewards property, through Hotels.com or the Hotels.com Call Center,, you will earn one (1) Free Night* at an eligible pre-pay Welcome Rewards property. The Program is subject to these Welcome Rewards® Terms & Conditions and the Hotels.com Terms & Conditions of which these Welcome Rewards Terms form part.
*Free Night does not include taxes and applicable fees and is subject to a maximum value restriction (“Free Night”) (see "Redeeming Loyalty Credits" below).
Eligibility
The Program is open only to individuals who are eighteen (18) and older, have a valid email address and have enrolled in the Program. Companies, associations, or other groups may not participate. Bookings made through the B.E.S.T program by employees of Expedia, Inc are not eligible. If an employee of Expedia, Inc. makes an eligible booking without using his/her employee discount, then that booking will be eligible.
Earning Loyalty Credits
You will receive one (1) loyalty credit for each qualifying night's stay. Subject to the exclusions below, bookings made at any eligible pre-pay Welcome Rewards property qualify for the Program. The following bookings do not qualify:
1. Bookings made on a Welcome Rewards participating property where the customer pays the hotel directly
2. Bookings made on a Hotels.com affiliate site
3. Bookings made prior to 1:00 p.m. CT on July 10, 2008
4. Package bookings (e.g., reservations hotel + air)
5. Bookings made using a coupon, voucher or discount code
6. Bookings made through Group Travel Services
7. Bookings made at a price of $0 (i.e., free bookings)
8. Bookings made on the China (Chinese language) Hotels.com website and where the booking is for a property located in the People’s Republic of China, excluding Hong Kong and Macao
To receive credit for a stay, you must sign in to your Hotels.com account (your "Account") when booking online. To receive credit for a stay, when booking by phone, you must give the email address associated with your Welcome Rewards membership to the Call Center agent prior to booking. You cannot receive credit for a booking after the hotel stay has been completed.
Only the customer booking the qualifying hotel stay receives the loyalty credit. Guests do not.
Loyalty credits will be added to your Account within seventy-two (72) hours after you have completed your hotel stay.
You can check your Account and see how many loyalty credits you have earned at any time by logging into your Account at Hotels.com (the "Website") or calling the Hotels.com Call Center. You are responsible for ensuring the accuracy of your Account. If you believe that a booking was not accurately counted, call the Hotels.com Call Center, and we will investigate the matter. Bookings that are determined to be invalid as set forth herein are subject to disqualification.
Redeeming Loyalty Credits
When you have accrued ten (10) loyalty credits, you will receive one (1) Free Night at an eligible pre-pay Welcome Rewards® property. You can redeem your Free Night when you book a qualifying stay online or by phone.
The value of the Free Night will be based on the ten (10) non-expired loyalty credits associated with the reward night. The maximum value of the Free Night will be equal to the average daily rate, excluding taxes and fees, of the ten (10) night stays for which the credits were earned. You are responsible for paying for taxes, fees, meals, incidentals and any other costs associated with the booking or stay. Where multiple currencies are used in earning your loyalty credits, the value of each credit is currently calculated using the currency you paid in earning the majority of the credits. Effective October 4, 2011, each credit will be calculated and displayed in the currency you used when you first booked a room as a Welcome Rewards member. Credits earned prior to October 4, 2011 that are not in the currency you used when you first booked as a Program member will be converted to the currency you used in your first booking based on historical conversion rates.
Free Night stays are subject to all applicable booking terms and conditions. You will not earn a loyalty credit for a free reward night's stay. Loyalty credits have no cash value, and the Free Nightcannot be redeemed for cash. Moreover, if the night’s stay for which you are redeeming your Free Nightcosts less than the maximum value of your Free Night , you will not receive the balance in cash, credit or otherwise.
If you use the Free Night for a night’s stay that costs more than the maximum value of the Free Night you must pay the difference.
If you have accumulated more than one (1) Free Night you may choose which Free Night to apply to a particular booking.
Your Free Night booking cannot be combined with any other offer, coupon, voucher or discount. This means, for example, that when you book your Free Night you cannot also use a coupon.
If you redeem your Free Night for a booking that includes more than one night, the reward will automatically be applied to the most expensive night in the reservation, subject to its maximum value.
Free Night stays are subject to all applicable room cancellation policies imposed by the property and passed on by Hotels.com. If you cancel a Free Night within the allowed cancellation period, your loyalty credits will be returned to your account within seventy-two (72) hours of your cancellation. If you cancel a Free Night outside the timeframe that the cancellation policy allows, your credits will not be returned and you will lose the credits associated with the Free Night.
If you have to modify the dates of a booking that includes a Free Night, then you must cancel the booking and re-book applying the Free Night to the new booking.
Welcome Rewards Levels
There are three Welcome Rewards Levels – Welcome Rewards, Welcome Rewards Silver and Welcome Rewards Gold. Upon enrolling in the Program, you will be assigned to the Welcome Rewards Level. To qualify for the Silver Level in a Membership Year, you must receive between 10 and 29 loyalty credits in that Membership Year. To qualify for the Gold Level in a Membership Year, you must receive 30 or more loyalty credits in that Membership Year. Each “Membership Year” will run for a year from the date on which your relevant account for the Program was first created and each anniversary after that.
Customers with Silver and Gold status (“Welcome Rewards Silver and Gold Members”) will be able to contact a separate customer service center regarding their bookings on Hotels.com.
Within 2 weeks after you qualify for Welcome Rewards Silver or Gold status, you will receive the benefits of that Level for both the remainder of that Membership Year and the following Membership Year. Provided you meet the loyalty credit requirements for that Level each Membership Year, you will maintain that status for the following Membership Year. If you do not meet the loyalty credit requirements for a Level in a Membership Year, you will be assigned to the next Welcome Rewards Level down for the following Membership Year.
Program Changes and Termination
Loyalty credits will not expire as long as there is a qualifying purchase or redemption activity associated with your Welcome Rewards account at least once every 12 months. Each time a qualifying activity occurs, the expiration will be extended for another 12 months. "Qualifying purchase or redemption activity" means a rewards-eligible stay which has been both booked AND completed, or a redemption of loyalty credits for 1 or more Free Nights. If there is no qualifying purchase or redemption activity during 12 month period, all credits in your account will expire and your account may be deactivated. Once expired, Welcome Rewards loyalty credits will not be reinstated. To learn more about your expiration status, please sign in to your account at Hotels.com and view your account status online.
Hotels.com may modify any of the terms and conditions governing the Program – including, but not limited to, the rules for earning loyalty credits, the different Levels of the Program, their qualification requirements and their associated benefits, the rules for redeeming loyalty credits, the hotels at which Free Nights may be redeemed, and the maximum value of a Free Night – at any time, with or without notice, even though these changes may affect your ability to use any loyalty credits or unredeemed Free Nights you have already earned. We may communicate changes to you electronically via email, through the Hotels.com website or other means.
The Program has no predetermined termination date and may continue until such time as Hotels.com decides to terminate the Program. Hotels.com may terminate the Program at any time. Upon termination, you will have thirty (30) days from the date Program termination is announced to use any loyalty credits remaining in your account. After that date, any loyalty credits will be forfeited without compensation.
Your continued participation in the Program constitutes your acceptance of any changes to these Welcome Rewards Terms & Conditions. You are responsible for remaining knowledgeable as to any changes that Hotels.com may make to these Welcome Rewards Terms & Conditions. The most current version of these Welcome Rewards Terms & Conditions will be available on the Website and will supersede all previous versions.
Welcome Rewards General Terms
Hotels.com reserves the right to discontinue the participation privileges of any individual who engages in any fraudulent activity or uses the Program in a manner inconsistent with these Welcome Rewards Terms & Conditions or the Hotels.com Terms & Conditions or any federal or state laws, regulations, statutes, or ordinances. Discontinued participation privileges may result in the loss of all accumulated loyalty credits and benefits. In addition to discontinuance of participation privileges, Hotels.com shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion. While you are enrolled in the Welcome Rewards program, we may communicate with you via email regarding updates on your account or transactions. Loyalty credits do not constitute the property of any participant and may be revoked by Hotels.com at any time as set forth herein. Loyalty credits may not be sold, transferred, combined with any other member's account, or assigned, and are not transferable upon death, as part of a domestic relations matter, or otherwise by operation of law. Except where prohibited, you agree that any and all disputes, claims, and causes of action arising out of, or connected with, the Program shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Dallas County, Texas. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Welcome Rewards Terms & Conditions, your rights and obligations, or the rights and obligations of Hotels.com in connection with the Program, shall be governed by, and construed in accordance with, the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules (whether of the State of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Texas.
The Program is void where prohibited by law. The failure of Hotels.com to enforce any provision of these Welcome Rewards Terms & Conditions shall not constitute a waiver of that or any other provision. Hotels.com's decisions as to all questions or disputes regarding Program eligibility, earning or redemption of loyalty credits or your compliance with these Welcome Rewards Terms & Conditions are final.
PRICE MATCH GUARANTEE TERMS
Price Match Guarantee - If you find a lower rate on hotels.com or on another U website by 23:59 (PST) the day before your stay, we will refund the difference to you. Package reservations are not eligible for this guarantee.
Submitting a Claim - You must contact the customer call center on or submit your request using the online Price Match Guarantee form by 23:59 (PST) the day before your stayThe lower rate must be available for booking at the time you contact us, as determined by our customer service representatives.
Comparison Must Be to Same Itinerary - The Price Match Guarantee is available only for exact itinerary matches, including property, room type, applicable cancellation policy, and dates of travel as booked through hotels.com. In addition, the comparison must be to the same property purchased stand-alone through another website (i.e., not part of a hotel + air package). The guarantee applies to the cost of booked travel, as presented in your booking confirmation, including any taxes and fees collected by us from you at the time of booking. The guarantee does not apply to any taxes or fees collected by any third party from you, such as those taxes and fees a hotel may colelct directly from you when you stay at the hotel. It is not available for reservations on websites where the property or other reservation details are unknown until after purchase. You must meet all requirements imposed on the lower price (if any), including, without limitation, residency, regional and age-related requirements.
Comparison Must Be Available - to the General Public. The Price Match Guarantee applies only to prices both advertised and available to the general public. For example, this does not include rates offered on membership program websites; corporate discounts or rates; group, charter, rewards program, incentive, meeting, convention, consolidator or interline prices; prices obtained via auction or similar process; or prices available only by using a coupon or other promotion not offered to the general public. The lower rate may not come from a website where you call to get the rate, or from an e-mail that you received.
Claim Verification - All requests are subject to verification by hotels.com. We will not accept screenshots or other purported evidence of a lower price that we cannot independently confirm. Nor will we verify any request that we believe, in our sole discretion, is the result of a printing or other error or is made fraudulently or in bad faith.
Refunds for Verified Requests - Verified requests will receive a credit to the credit card used for the reservation. Where you have paid for your hotel at the time of booking, we will send your refund upon verification of your request. Where you have chosen to pay later at the hotel, you will pay the hotel the original price upon arrival and we will send your refund after you have completed your stay. Note, it may take up to 30 days or the next billing cycle for your refund to appear on your statement.
Changes - We reserve the right in our sole discretion to modify or discontinue the Price Match Guarantee or to restrict its availability to any person, at any time, for any or no reason, and without prior notice or liability to you. The terms that are in effect at the time of your claim will determine your eligibility under the guarantee. Our failure to enforce any provision of these Terms & Conditions shall not constitute a waiver of that provision.
TRAVEL DESTINATIONS
Although most travel, including travel to international destinations, is completed without incident, travel to certain destinations may involve greater risk than others. Hotels.com urges passengers to review travel prohibitions, warnings, announcements and advisories issued by the United States Government prior to booking travel to international destinations. Information on conditions in various countries and the level of risk associated with travel to particular international destinations can be found at www.state.gov, www.tsa.gov, www.dot.gov, www.faa.gov, www.cdc.gov, www.treas.gov/ofac and www.customs.gov.
BY OFFERING FOR SALE TRAVEL TO PARTICULAR INTERNATIONAL DESTINATIONS, HOTELS.COM DOES NOT REPRESENT OR WARRANT THAT TRAVEL TO SUCH POINTS IS ADVISABLE OR WITHOUT RISK, AND IS NOT LIABLE FOR DAMAGES OR LOSSES THAT MAY RESULT FROM TRAVEL TO SUCH DESTINATIONS.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES PUBLISHED ON THIS WEBSITE MAY INCLUDE INACCURACIES OR ERRORS, INCLUDING PRICING ERRORS. Sharing of location data through the Mobile Application can be switched off at any time in the settings menu.
Termination
Hotels.com may terminate these Terms of Use immediately by written notice to you if:

Hotels.com, at its sole discretion, decides to withdraw the Mobile Application whether in whole or in part.
Upon termination for any reason:
